Introduction

These Speaker Agreement Terms (“Agreement”) apply to all individuals (“Speaker” or “you”) invited and confirmed to present at events organized by thedsgnjunkies (“we,” “us,” “our”), including but not limited to FiDCon (“Event”). By accepting our invitation and/or participating as a speaker, you agree to the following terms.

1. Engagement

• Speaking Commitment: You agree to deliver the talk, workshop, panel discussion, or other presentation format (“Session”) as previously discussed and confirmed with thedsgnjunkies.

• Session Details: The topic, title, format, and duration of your Session will be established during the confirmation process. Any changes must be communicated and agreed upon by both parties in advance.

2. Speaker Obligations

• Timely Submission of Materials: You agree to provide presentation files, supporting documents, and any required bios, headshots, or promotional materials by the deadlines specified by thedsgnjunkies.

• Professional Conduct: You will conduct yourself in a professional and respectful manner, adhering to our Code of Conduct and any applicable policies throughout your participation at the Event.

• Compliance with Event Terms: You agree to abide by the thedsgnjunkies Live Event Terms & Conditions, including onsite venue rules and instructions from event staff.

3. Intellectual Property & Content Usage

• Original Work: You represent and warrant that any materials, content, or information included in your Session are your own or that you have the necessary permissions to use and display them. You agree not to infringe upon the intellectual property rights of any third party.

• License to Use Your Materials: By participating as a Speaker, you grant thedsgnjunkies a non-exclusive, worldwide, royalty-free license to record, reproduce, adapt, and distribute your Session (including video, audio, and slides) for promotional, educational, archival, or other related purposes. If you have restrictions on how your content may be used, please communicate these limitations prior to the Event so they can be addressed in a written addendum to this Agreement.

• Attribution & Credits: thedsgnjunkies will make reasonable efforts to credit you whenever your recorded Session or related materials are used, including your name, title, and affiliation, as applicable.

4. Compensation & Expenses

• Speaker Fees (if applicable): Any agreed-upon speaker fee, honorarium, or reimbursement will be detailed in a separate communication or addendum. If no payment is agreed upon, you acknowledge that participation is on a voluntary basis.

• Travel & Accommodation: If thedsgnjunkies agrees to cover or reimburse travel, accommodation, or other expenses, the details and process for reimbursement will be provided in writing prior to the Event.

• No Additional Compensation: Unless specifically agreed in writing, no other compensation, royalties, or fees will be payable to you for your participation or for use of your Session materials.

5. Promotion & Marketing

• Use of Your Name and Likeness: You permit thedsgnjunkies to use your name, biography, photograph, and details of your Session for promotional and marketing purposes related to the Event.

• Approval of Promotional Materials: thedsgnjunkies will make reasonable efforts to ensure that any promotional materials referencing you or your Session are accurate. Should you identify errors, notify us promptly for corrections.

6. Confidentiality

• Confidential Information: If you receive any confidential or proprietary information from thedsgnjunkies, you agree not to disclose it to any third party without our prior written consent.

• Non-Disclosure by thedsgnjunkies: Similarly, we will not disclose any private or confidential information you share with us in confidence, except as required by law or with your written permission.

7. Warranties & Representations

• Accuracy & Compliance: You represent and warrant that all statements, research, and information shared during your Session are, to the best of your knowledge, accurate, lawful, and do not violate any third-party rights.

• Indemnification: You agree to indemnify and hold harmless thedsgnjunkies, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or expenses arising out of or related to your violation of intellectual property rights, breach of these Terms, or any other wrongful act.

8. Cancellation & Termination

• Cancellation by Speaker: If you must cancel your participation, please provide notice as soon as possible. thedsgnjunkies reserves the right to replace you with another speaker.

• Termination by thedsgnjunkies: We may cancel your Session or end this Agreement if you breach any of these Terms or for any reason that compromises the integrity or safety of the Event.

9. Governing Law & Jurisdiction

These terms shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Ghana for any disputes arising under these Terms.

10. Entire Agreement

These Speaker Agreement Terms, along with any referenced policies (Code of Conduct, Privacy Policy, Event Terms) and written addendums, constitute the entire agreement between you and thedsgnjunkies regarding your participation as a speaker and supersede any prior agreements, understandings, or negotiations.
