Introduction

These Sponsor/Partner Agreement Terms (“Agreement”) apply to organizations and individuals (“Sponsor” or “you”) that engage with thedsgnjunkies (“we,” “us,” “our”) to sponsor or partner in support of events, programs, or initiatives, including but not limited to FiDCon (“Event”). By confirming your sponsorship/partnership, you agree to comply with these terms.

1. Sponsorship/Partnership Benefits & Deliverables

• Defined Benefits: Your sponsorship or partnership package (“Package”) is set forth in a separate document or communication outlining agreed-upon benefits, such as brand placements, speaking opportunities, exhibit space, digital promotions, and other deliverables.

• Modifications: Any adjustments to your Package must be agreed upon in writing by both parties. If the scope changes significantly, additional fees or updated terms may apply.

2. Sponsorship/Partnership Fee & Payment Terms

• Fees: The sponsorship or partnership fee (“Fee”) and payment schedule will be communicated in a separate invoice or contract addendum. The Fee is non-refundable unless otherwise stated in this Agreement.

• Payment Due Date: Unless otherwise agreed, payment is due within 10 days of invoice receipt. Late payments may result in delayed or reduced benefits.

• Taxes: You are responsible for any applicable taxes or duties associated with your sponsorship or partnership.

3. Use of Sponsor/Partner Name & Marks

• License to Use Trademarks: You grant us a non-exclusive, royalty-free, limited license to use your name, logos, and trademarks (“Marks”) as necessary to provide the agreed-upon benefits, including promotional materials, websites, signage, and other marketing collateral.

• Quality Control: We will use your Marks in a manner consistent with any brand guidelines you provide and maintain their integrity. If you identify any misuse of your Marks, notify us promptly for corrections.

4. Sponsor/Partner Obligations

• Deliverables: If your Package requires you to provide materials (e.g., artwork, copy, product samples) or fulfill certain obligations (e.g., speaker info, booth setup), you agree to submit these in a timely manner following any deadlines communicated by thedsgnjunkies.

• Compliance with Policies: You agree to abide by thedsgnjunkies Code of Conduct, Event Terms, and any other relevant policies. This includes ensuring your representatives, exhibits, and activities at the Event align with the Event’s theme, community standards, and applicable laws.

5. Intellectual Property & Content

• Ownership: Except as provided under the licenses herein, each party retains all rights, title, and interest in their respective intellectual property.

• Event Content: Any content (such as sessions, workshops, or presentations) created by or involving you at the Event remains your intellectual property, unless otherwise agreed in writing. However, by participating, you grant us the right to record, photograph, and share these contributions for promotional and archival purposes.

6. Confidentiality

• Definition of Confidential Information: Confidential Information includes non-public business, technical, or financial information disclosed by one party to the other.

• Obligation of Confidentiality: Both parties agree to protect each other’s Confidential Information and not disclose it to any third party without written consent, except as required by law.

7. Term & Termination

• Term: This Agreement becomes effective upon confirmation of your sponsorship or partnership and remains in effect through the duration of the Event (or initiative) and any agreed-upon promotional period thereafter.

• Early Termination: If you fail to meet your obligations, including payment of the Fee or compliance with policies, we may terminate this Agreement and revoke sponsorship or partnership benefits. No refund of Fees will be provided in such cases.

• Cancellation or Change of Event: If the Event is canceled, postponed, or substantially altered, we will make reasonable efforts to provide alternative benefits or negotiate mutually acceptable adjustments. Refunds or credits may be considered at our discretion.

8. Representations & Warranties

• Authority & Compliance: Each party represents that it has the authority to enter into this Agreement and that doing so does not violate any other agreements or applicable laws.

• No Infringement: You represent that any content, materials, or Marks you provide do not infringe on the intellectual property or rights of any third party.

9. Limitation of Liability & Indemnification

• Limitation of Liability: To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, consequential, or special damages arising from this Agreement.

• Indemnification: You agree to indemnify and hold harmless thedsgnjunkies, its affiliates, and their respective officers, directors, employees, and agents from any claims arising from your breach of this Agreement or your negligence, misconduct, or violation of rights.

10. Governing Law & Dispute Resolution

This Agreement is governed by the laws of Ghana. Any disputes arising under this Agreement shall be resolved in the courts located in Ghana, and both parties submit to their exclusive jurisdiction.

11. Entire Agreement & Amendments

These Sponsor/Partner Agreement Terms, along with any related documents (invoices, addendums, or Package descriptions), constitute the entire agreement between the parties and supersede any prior discussions or understandings. Amendments must be in writing and signed by both parties.
